“BULGARIAN FASHION PHOTOGRAPHERS ASSOCIATION”
Purpose and object of the statute
Article1 This statute regulates the structure and activities of the non-profit association operating in public interest named BULGARIAN FASHION PHOTOGRAPHERS ASSOCIATION, which is to be registered in Sofia City Court, Company Department, register of legal entities with non profit association. Hereinafter referred to as the ASSOCIATION.
Legal status and order
/1/ The BULGARIAN FASHION PHOTOGRAPHERS ASSOCIATION is a non-profit association for performing of an activity for public benefit as per the provisions of the Non-profit Legal Entities Act.
/2/ The ASSOCIATION is an organization free from political, ideological, and religious institutions and movements, it can not preach and implement their ideas.
/3/ The ASSOCIATION is a voluntary association of creative people and specialists in the field of fashion photography, as well as traders and legal persons with regard to fashion photography.
/4/ The ASSOCIATION is a legal entity separate from its members, incorporated under the provisions of the law on non-profit purpose, the statute and the decision of the Constituent Assembly and in accordance with the provisions of the Bulgarian legislation.
/5/ The Association is a legal entity with clearly defined in this statute aims, objectives and character.
Goals and means to achieve them
Article6 The ASSOCIATION is established for the purpose of:
/1/ To protect the interests of fashion photographers in Bulgaria and abroad, uniting them and represented within its capabilities and in accordance with the provisions of this constitution and the legislation of the Republic of Bulgaria and abroad.
/2/ To regulate professionalism.
/3/ To be a unifying center of creativity and professional interests in the field of fashion photography.
/4/ To represent the highest achievements of Bulgarian fashion culture.
/5/ To support and develop Bulgarian fashion creativity.
/ 6 / To establish an open national strategy for fashion through the development of initiatives to ensure the development and its stimulating and awakening the interest of society.
/ 7 / To join the Bulgarian fashion market to the global fashion business.
/ 8 / To study the international experience to develop strategies for the detection of foreign markets for our photographers and their products, while regulating the behavior of foreign photographers on the market in Bulgaria.
/ 9 / To establish criteria and system to promote breakthroughs in the field of fashion, handing out annual and other awards.
/ 10 / To provide job-specific information and consultation for community needs.
/ 11 / To assist of the expertise of fashion photographers in the direction of improving the quality and certification according to European standards.
/ 13 / To protect creative professional interests and rights of the fashion photographers, to assist in the protection of their copyrights to participate actively in the spiritual and cultural life of the country.
/ 14 / To take legislative initiatives to protect the copyrights of fashion photographers in the country and worldwide.
/ 15 /To provide permanent media support for the activities of the Association and fashion photographers.
/ 16 / Personal responsibility for all national and international events aimed at promoting Bulgarian style, tradition and fashion.
/ 17 / To create price standards.
/ 18 / Criteria for the fashion photographer specialty.
/20/ To produce standardized contracts for production of orders.
/21/ To promote the activities of fashion photography through photo exhibitions, engagements, workshops, master classes, photographic meetings and workshops.
/24/ Training, development and promotion in the field of fashion photography with various students in photography.
Management of exclusive rights related to accreditation of fashion photographers for Fashion Weeks on the territory of Bulgaria and abroad on behalf of Bulgaria for abroad.
/29/ Terms of membership:

Article7 TheAssociation achieves its goals through:
/ 1 / Networking between fashion photographers, sponsors and associates, integrating financial, information and organizational capabilities;
/ 2 / The Organization of conferences, Days of professionals, seminars, symposia, workshops and exhibitions;
/ 3 / The Development of expert and advisory bodies to meet the needs of a competent professional assessment and evaluation of fashion products;
/ 4 / Creation of partnerships with associations for fashion photography in other EU countries and the world.
/ 5 / Development of trade contacts and creation of new ones. Opening of representative offices abroad.
/ 6 / Building a modern information network / data bank – file index / representing all creative potential and capabilities of fashion photographers, the members of the Association in all areas of design, implementation and deployment.
/ 7 / Creating the rules of professional ethics;
/ 8 / Organize contacts and exchange of experience with foreign specialists in the field of fashion photography.
MEMBERSHIP. TYPES OF MEMBERSHIP. TERMS OF MEMBERSHIP
Eligibility for membership
/1/ Members of the Association can be legally capable physical or legal persons who accept the present Statute, pay subscriptions and meet the requirements laid down therein for the respective types of membership.
/2/ The members of the Association can be legal persons whose activities are related to fashion.
/3/ The ASSOCIATION accepts members from foreign countries, who are prominent photographers or businessmen in the industry, who accept the present Statute and do not implement ideological and religious theories, are not forbidden from visiting the Republic of Bulgaria and do not work against the interests of our country.
Types of membership
Article10The Association identifies three types of membership:
/ 1 / Regular members: Regular members of the Association can only be professionals working in the field of fashion, as well as persons having proved creative fashion events. Regular members can also be authors with appearances in the theory, criticism and journalism in fashion, sponsors, advertisers, public people, economists, lawyers and other individuals and entities involved in the fashion business.
/ 2 / The Associated members: Associated members can be physical or legal persons directly supporting creativity in fashion, contracting projects, producers, adopters and distributors of photographic products; professionals crucial to the realization of fashion Strategies – economists lawyers, executives, patent specialists and others., students trained in specialties directly related to fashion photography.
/ 3 / Honorary members: honorary members may be elected Bulgarian and foreign physical and legal persons with proved significant contribution to the promotion of fashion strategy.
Acquisition of membership and admission of new members
Article 11 Membership in the Association is voluntary.
Article 12 Membership in the Association occurs with the fact of participation in the Constituent Assembly or the subsequent acceptance of the terms of these statute.
/ 1 / Adoption of new Regular and Associated members shall be based on a written application. The application should be completed in person and / or in the name and on behalf of the candidate expressly authorized by a third party on the basis of notarized power of attorney. The application should be addressed to the Board of the Association.
/ 2 / Legal person shall be accepted on application made by representative bodies and represented in the Association by an authorized person. Applications shall include a decision of the entity to participate in the Association.
/ 3 / The Board may require the application to include written and visual materials.
/ 4 / Membership is obtained by resolution of the Board passed by a simple majority and following a payment of a one-year subscription, and for legal entities introductory membership fee and one-year membership fee.
/ 5 / The decision of the Board may be appealed within 14 days of receiving the notification.
Article 14 Honorary membership occurs after a recommendation from a member of the Association, which is passed by the General Assembly after agreement of proposals for Honorary Member. An honorary member is not obliged to subscriptions.
Article 15Rights obtained by the members of the Association:
/ 1 / Each regular member shall be entitled:
a) participate in the activities of the Association.
b) to participate in the work of the General Assembly and vote on decisions. No member shall be entitled to vote on matters relating to his spouse, descendants and ascendants relatives and collateral relatives by marriage to the second degree.
c) to elect and to be elected to the governing and representative bodies of the Association.
d) be informed about the work of the Association in relation to the adopted decisions and requests for information on matters affecting his/her interests.
e) to ask for annulment of illegal, unstatutable and incorrect decisions and actions of bodies.
f) relies database information bank file index, and to use such in accordance with the provisions of the rules of procedure of the information bank.
g) to be promoted and advertised in publications of the Association
h) to obtain a certificate as a regular member of the Association.
i) to use preferentials for all activities organized by the Association.
j) to put in a suitable place on their projects the logo of the Association as a guarantee of quality and professionalism.
/ 2 / Each associate or honorary member is entitled to:
a) personally or by proxy, subject to this Statute to participate in the General Assembly of the Association entitled to vote.
b) participate in the work of the Association and to be elected in the various working committees.
c) to be informed about the work of the Association in respect of the decisions taken and requests for information on matters affecting his/her interests.
d) relies on database information bank file, and to use such in accordance with the provisions of the rules of procedure of the information bank.
e) be promoted and advertised in publications of the Association.
h) receive a document certifying the type of membership in the Association.
i) to use preferencials for all activities organized by the Association.
Article 16Obligations of members of the Association:
/ 1 / Each regular member of the Association shall:
a) comply with the Statute and implement the decisions taken.
b) submit to the terms defined by the rules of the Association subscriptions.
c) to comply with the professional and collegiate ethics adopted according to Code of Ethics.
d) to keep prestige, property and dignity of the Association.
/ 2 / Each associate or honorary member shall:
a) comply with the requirements of this statute to comply with the decisions of the General Assembly and the Board.
b) submit to the deadlines set by the internal rules of the Association subscriptions.
c) to protect the prestige and dignity of the Association.
Termination of Membership
/ 1 / membership shall be terminated:
1. by unilateral written statement addressed to the Board
2. in case of death or guardianship;
3. Termination of the Association as a legal entity
4. upon closing the legal entity member of the Association;
5. for non-payment of entrance fee and a proprietary non-payment of dues within a year.
6. systematically opt for the activities of the Association.
/ 2 / The findings of in the preceding paragraph shall be established by a protocol of the Board or its designated committee thereof.
/ 3 / If the decision is appealed to the Board, it takes the final opinion.
/1 / The Member of the Association may be excluded:
1.When systematically violates the Statute, Code of Ethics, the decisions of the Board.
2.When with their actions and expressions violates the rights and interests of the Association or undermine its prestige in the public.
/ 2 / proposal for exclusion is made by the Chairman.
/ 3 / The decision to terminate the membership shall be taken by a majority of two thirds of the members of the Board. Before deciding, the Board is required to listen to the member proposed for exclusion or read his written objections. For this purpose he shall be invited to attend the meeting of the Board or to provide preliminary explanations.
/ 4 / The decision to terminate the membership may be appealed to the General Assembly within 14 days of receiving notice. Assembly shall decide on the appeal at its first regular meeting.
Consequences of dropping out or expulsion of a member
Article 21 Upon termination of membership or expulsion association does not return the subscriptions made by the person whose membership is terminated, and his/her heirs. The excluded member is obligated to repay the overdue material contributions to the entry into force of the decision of the Board.
Article 22 The BULGARIAN FASHION PHOTOGRAPHERS ASSOCIATION with its status as a legal non-profit entity operating for public benefit is a unified organization in the country with a representative government of its authority under this statute
Bodies of the Association
Article 23Bodies of the Association are:
a) General Assembly / GM /
b) Management Board / Board /
c) Chairman of the Board
Structures of the Association
/1 / In order to achieve the main objectives of the Association The Board may at its discretion establish permanent and temporary structures of the Association and shall adopt regulations defining the status and powers of their office.
/ 2 / Structures under the preceding paragraph are:
1. Advisory Council
2. branches – created on a territorial basis
3. sections – created on creative basis
4. councils- created on a functional basis
5. committees – created on a functional basis
/ 3 / Structures of Association report their activities to the Board, taking into account the results of their activities to the General Assembly.
/ 4 / The members of the Association may be elected or to volunteer simultaneously in several structures, just as people who are not members of the Association may participate in the Advisory Board.
Article 31 The governing body of the Association is Management Board. The board is a collective body and has representative functions through its Chairman.
/1 / The board shall be elected for a period of 3 years, and its members are eligible for reappointment.
/ 2 / Governing Board shall consist of 5 to 9 people – members of the Association.
/ 3 / Spouses, descendants and ascendants relatives and collateral relatives up to the fourth degree and relatives by marriage to the second degree may not be elected simultaneously / on the same term of office / in the Management Board
/ 4 / In the event of an additional obstacle arising for a member of the Board, under the preceding paragraph precluding his further participation in this Council, and if the existence of such an obstacle is discovered later, The board release him on the proposal of its President. In the same way a member can be released from participation in The board temporarily or permanently due to severe or prolonged illness, a long absence from the country or for other justified reasons is unable to perform his/her duties. Vacancies in The board shall be filled by resolution of the General Assembly.
/ 5 / An application of a board member for leaving the Board / resignation / shall not be voted.
/ 6 / The Board is headed by a Chairman. He is elected among the members of the Board at a session of the Board, which must be attended by at least two thirds of its members and that should be held within seven days of the election of the members of the Board.
/ 7 / The Board manages the overall activities of the Association, executes the programs, budget and decisions of the General Assembly.
/ 8 / The work of the Board is organized in accordance with the provisions of this Statute.
Chairman of the Board
/1 / A person may be re-elected as Chairman of the Board.
/ 2 / In the absence of the Chairman of the Board, his/her representative functions are borne by a member of the Board authorized by the Chairman.
/ 3 / The Chairman of the Board may assign part of his/her functions to the CEO or to authorize another person with some of them being responsible for his/her choices.
Article 37Rights and duties of the Chairman:
- Represents the organization before third parties and governmental authorities. The Chairman may assign representative functions to others by a contract.
- Convene and preside over meetings of the Board and may invite the heads of branches and representatives of the sections and the Advisory Board.
- Sign the protocols of the decisions taken by the General Assembly and Board.
- Certifies internal regulations if any were adopted.
- Signs the contract with the Executive Director.
- Ensures interaction between bodies of the Association, regional offices, and all relations with government institutions, departments, institutions, agencies, trade unions, artistic unions, similar organizations at home and abroad, relationships with industry.
- Organizes the activities of the Association related to fashion and propaganda, issuing of special bulletins, creation of a data bank – filing, conference activities, participation in trade fairs, exhibitions and more.
- When discussing specific issues the Chairman invites consultants to Board meetings.
- Performs other activities as assigned by the Board or the General Assembly, in accordance with the Statute.
- Chairman of the Board has no right to dispose with and encumber property of the Association.
TRANSITIONAL AND CONCLUDING PROVISIONS
& 1. The BULGARIAN FASHION PHOTOGRAPHERS ASSOCIATION was established by a decision of the Constituent Assembly held on 14.09.2012 It has become a non-profit legal entity to perform in public benefit on the date of entry in the special register of the Sofia city Court, Company Division, Register of non-profit Legal Entities.
& 2. Members of the Association have rights in accordance with this Statute.
& 3. For the cases unsettled by this statute and concerning the interpretation and application of its provisions, the law for non-profit legal entities shall be applied. Provisions of this Statute, in case of conflict with the law are replaced by mandatory law rights.
